Terms of Service

1. Introduction
These Terms of Service ("Terms") govern your use of the newlens website (the "Website"), the AI Readiness Assessment tool (the "Assessment"), and any paid workshops you book through the Website (each a "Workshop"). By accessing or using the Website, or by booking a Workshop, you agree to be bound by these Terms.
newlens limited ("we," "us," or "our") is registered in England & Wales (Company No. 16945634). We are registered with the Information Commissioner's Office (ICO Registration Number: ZC095203). Our registered company address is 2 Burghley Way, Littleover, Derby, DE23 4TD.
2. Services
2.1 Website Use: The Website provides information about our workflow automation, consulting, and AI training services. Use of the Website is subject to these Terms.
2.2 Assessment Tool: The Assessment is a free discovery tool designed to evaluate your business's AI readiness. Completion of the Assessment does not create a client relationship or obligation to purchase services.
2.3 Paid Services: Bespoke professional services (workflow automation, consulting, and tailored training engagements) are subject to separate written agreements, and these Terms do not govern their delivery. Standardised paid Workshops booked directly through the Website, such as the AI Confidence Session, are governed by Section 4 of these Terms.
3. Alpha Partner Program
3.1 Application: Participation in the Alpha Partner Program is by application only. We reserve the right to accept or decline applications at our sole discretion.
3.2 Terms: Alpha Partners who are accepted will receive separate service agreements outlining pricing, scope, deliverables, and cancellation terms.
3.3 Availability: The Alpha Programme has limited spaces and may close without notice once capacity is reached.
3.4 Fair Use: automation consultancy subscriptions include execution limits and fair use terms as defined in the applicable service agreement. Execution limits are soft caps. There are no automatic overage charges.
4. Workshops and Bookings
4.1 Scope: This section governs paid Workshops booked directly through the Website, including the AI Confidence Session. Workshops are standardised, fixed-price sessions. They are separate from the bespoke professional services described in Section 2.3.
4.2 Booking and Payment: Workshops are booked and paid for through our scheduling and payment providers. Payment is taken in full at the time of booking. Card payments are processed securely by Stripe. We do not store your card details. Your booking is confirmed once payment has been received and you have received a confirmation email.
4.3 Price: The price shown at the time of booking is the price payable. newlens limited is not registered for VAT, so no VAT is added.
4.4 Delivery: Workshops are delivered in person at your premises, within the geographic area stated on the booking page. You are responsible for providing a suitable working location and the equipment described in your booking confirmation, including a charged laptop and access to your AI account.
4.5 Cancellation and Rescheduling (business customers): Where you book as a business, the following applies:
- You may reschedule once, free of charge, with at least 48 hours notice.
- If you cancel 7 or more days before your session, we will refund your fee in full.
- If you cancel within 7 days of your session, the fee is non-refundable, as the slot is reserved for you. You may instead reschedule once, with at least 48 hours notice.
- If you cancel within 48 hours of your session, or do not attend, no refund is given.
4.6 Cancellation Rights (consumers): Where you book as a consumer, you have a statutory right to cancel within 14 days of booking under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. The following applies:
- If your session is scheduled more than 14 days after the date of booking, you may cancel within 14 days of booking and receive a full refund.
- If you book a session that falls within 14 days of booking, you expressly request that we begin providing the service within the cancellation period. Once your session has been delivered, your right to cancel is lost. If you cancel before your session takes place, we will refund your fee, less a reasonable amount for any service already provided.
- The business cancellation terms in 4.5 apply to consumers only to the extent that they do not reduce your statutory rights.
4.7 Cancellation by Us: If we need to cancel or reschedule your session, we will offer you a rescheduled session or a full refund, at your choice.
4.8 Refunds: Where a refund is due, it is processed through Stripe to your original payment method. Refunds may take several working days to appear, depending on your bank or card provider.
4.9 Nature of the Workshop: A Workshop is training and practical guidance. It is not a guarantee of any particular business result. The recommendations given are based on the information you provide and your circumstances on the day.
5. Data Collection & Privacy
5.1 Assessment Data: When you complete the Assessment, we collect business information to generate your AI Readiness Report. This data is processed in accordance with UK GDPR and our Privacy Policy.
5.2 Contact Forms: Information submitted via contact or application forms is used solely to respond to your enquiry or assess your application.
5.3 Your Rights: You have the right to access, correct, delete, or export your personal data. Contact us at mat.keys@newlens.uk to exercise these rights.
6. Assessment Report
6.1 Nature of Report: The Assessment Report is provided for informational purposes only. It is not professional advice and should not be relied upon as a substitute for consulting with qualified professionals.
6.2 No Guarantee: The Report represents our assessment based on the information you provide. We make no warranty regarding the accuracy, completeness, or suitability of the recommendations.
6.3 Delivery: We aim to deliver your Report within 24 hours of Assessment completion. Delays may occur and do not constitute a breach of these Terms.
7. Intellectual Property
7.1 Website Content: All content on the Website, including text, graphics, logos, and software, is owned by newlens limited or our licensors and is protected by copyright and other intellectual property laws.
7.2 Assessment Tool: The Assessment tool and methodology are proprietary to newlens. You may not copy, modify, distribute, or reverse engineer the Assessment.
7.3 Your Data: You retain ownership of any data or information you submit through the Website. By submitting, you grant us a license to use that data to provide the services described in these Terms.
7.4 automation consultancy: Automation workflows developed by newlens as part of any paid service are the intellectual property of newlens and are licensed to the client under the terms of the applicable service agreement. A self-hosted buyout option is available. Full terms are set out in the service agreement.
8. Limitation of Liability
8.1 No Warranty: The Website and Assessment are provided "as is" without warranty of any kind, express or implied. We do not warrant that the Website will be uninterrupted, error-free, or secure.
8.2 Limitation: To the fullest extent permitted by law, newlens limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Website or Assessment.
8.3 Maximum Liability: For claims arising from your use of the Website or the Assessment, our total liability shall not exceed £100. For claims arising from a paid Workshop, our total liability shall not exceed the fee you paid for that Workshop. Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud, or for any other liability that cannot be excluded or limited under the laws of England and Wales.
9. Acceptable Use
You agree not to:
- Use the Website for any unlawful purpose
- Attempt to gain unauthorized access to our systems
- Submit false or misleading information
- Interfere with or disrupt the Website's operation
- Use automated tools to access the Website without permission
- Copy, reproduce, or redistribute Website content without authorization
10. Third-Party Links
The Website may contain links to third-party websites. We are not responsible for the content, privacy practices, or terms of use of any third-party sites. Your use of third-party sites is at your own risk.
11. Changes to Terms
We may update these Terms from time to time. Changes will be effective when posted on this page with a revised "Last updated" date. Your continued use of the Website after changes are posted constitutes acceptance of the revised Terms.
Material changes will be notified via email to registered users or through a prominent notice on the Website.
12. Termination
We reserve the right to suspend or terminate your access to the Website at any time, without notice, for any reason, including violation of these Terms. Upon termination, your right to use the Website ceases immediately.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or use of the Website shall be subject to the exclusive jurisdiction of the courts of England and Wales.
